Rules for collecting charitable donations

The charitable organization “Charter Foundation” (hereinafter referred to as “Charter Foundation” or “Organizer”) collects charitable donations for the purpose of using them in its statutory activities, in particular to meet the needs of the 13th Brigade of the National Guard of Ukraine “Charter” and/or the Directorate of the Operational-Tactical Unit - 2nd Corps of the National Guard of Ukraine “Charter” (Military Unit 4125). All benefactors who make a charitable donation in the amount of UAH 1,799 or more will be sent invitations to the “Charter Fest” festival. SECTION 1. DEFINITIONS 1. The following terms and definitions are used equally in both the singular and plural, in the following meanings:

1.1. Organizer - Charitable organization "Charitable Foundation "Charity", which organizes the charitable collection in accordance with the statutory goals.
1.2. Performer – a legal entity and/or individual who conducts cultural and entertainment events for Spectators (Benefactors).
1.3. Agent - Private Enterprise “V-TICKET” and/or Limited Liability Company “CONCERT UA”, which provides Spectators (Benefactors) with access to the Automated Invitation Distribution System “V-ticket”, and to the functionality for making a charitable donation (charitable collection) and receiving an Invitation.
1.4. Spectator (Benefactor) – a person who is going to make or has already made a charitable donation (donation) and has already received a physical or Electronic invitation to the Organizer's Event. For the purposes of these Rules, the term “Specter” (“Benefactor”) means a legal entity and/or an individual.
1.5. Charitable donation (Donation) - a charitable donation in accordance with the Law of Ukraine “On Charitable Activities and Charitable Organizations”, which is transferred by the Benefactor to the Organizer's bank account (excluding the Service Fee, which is transferred to the Agent's bank account), which is made through the Site/Website/Official Site/Web resource of the Agent, in particular at the electronic address on the Internet: www.v-ticket.com.ua, www.concert.ua.
1.6. Site/Website/Official Site/Web Resource – a final software product available for viewing on the Internet, which contains information materials, including databases, graphic, including animated, and video images, audio files, microprograms, PHP and PERL scripts, style sheets (CSS), elements of Shockwave, Flash, Java programs, as well as the original HTML or XML code of the resource. The Organizer's website is https://www.khartiiafoundation.com/, the Agent's website is www.v-ticket.com.ua , www.concert.ua .
1.7. Automated invitation distribution system “V-ticket” (hereinafter referred to as the “System”) is a software and hardware complex designed to ensure accounting of operations for the distribution and reservation (booking) of invitations to various Events (www.v-ticket.com.ua/).
1.8. Invitation – a document confirming a person's right to a one-time visit to the Event, including an Electronic Invitation, which should be understood as an ordered set of data, including that generated by the System, which includes the values of the Event Invitation details, which unambiguously describe and confirm the right to a one-time visit to the Event, which can also be issued by applying an Electronic Invitation to the Invitation Form by a Ticket Printer.
1.9. Electronic invitation (invitation) - a document generated by the System in electronic and digital form (a set of parameters and statuses in the System), characterizing, unambiguously describing and confirming a person's rights to attend a certain Event.
1.10. Reservation – restriction of access of Users in the System to perform operations on sending Invitations according to certain parameters.
1.11. Hall – a room intended for holding the Organizer's Event.
1.12. Event – any concert and entertainment event organized by the Organizer according to its own creative idea and at the expense of its own funds and/or funds raised from other investors or sponsors.
1.13. User – an authorized person of the System Participant who has the appropriate authority to work with the System and perform certain technical operations using the System's software modules.
1.14. Participant is a legal entity and/or an individual entrepreneur who is an operator of the invitation distribution market and has the appropriate authority to use the System.
1.15. Gateway/Gateway – a hardware router or software for connecting computer networks that use different protocols.
1.16. Payment system – a payment organization that develops, implements, and functionally supports mechanisms for using special payment instruments and related services when transferring funds using the services of the Acquiring Bank.
1.17. Acquirer Bank - a bank that carries out payment transactions for the debiting and crediting of funds through the Payment System.
1.18. Expected amount of charitable donation (donation) – the estimated amount of charitable donation (donation) that the Customer expects to receive from the Benefactors.
1.19. Service fee - the amount of money paid by the Viewer (Benefactor) and sent by the Customer to the Contractor when transferring the Estimated amount of the charitable donation (donation), in order to cover (compensate) by the Customer the Contractor's expenses incurred in providing services for organizing the collection of charitable donations and distributing Invitations through the Website, including, but not limited to, technical support for distributing Invitations. The Service fee is paid by the Viewer separately from the Expected amount of the charitable donation (donation) in favor of the Contractor. The Service fee is not subject to return to the Viewer and/or transfer to the Organizer in any case, and remains at the disposal of the Contractor.
1.20. Barcode – a code generated by the System that is applied to the Invitation and identifies it.
1.21. Delivery – sending of Invitations by the Agent to the Spectator (Benefactor), accompanied by informing him/her about the receipt of the Invitation and responsibility for its preservation until the moment of receipt.
1.22. Other terms used in this Agreement have the meaning assigned to them by the current legislation of Ukraine.

SECTION 2. GENERAL PROVISIONS
2.1. These Rules regulate the conditions, procedure for distributing Invitations during the collection of charitable donations and the obligations arising from the Parties.
2.2. Invitations to Benefactors are distributed exclusively under the terms and during the validity of these Rules.
2.3. The charitable donation is made by the Benefactor using the Agent's resources during the term of this Agreement and is not subject to return in any case.
2.4. The Organizer has the right to make changes to these Rules at any time, but in any case such changes are published and brought to the public's attention by publishing them at the electronic address on the Internet www.v-ticket.com.ua, www.concert.ua. Making a charitable donation after making changes to these Rules means that the Benefactor accepts all changes made to these Rules. Changes made to these Rules cannot limit the participation of Benefactors who have made a Charitable Donation in attending the Event.

SECTION 3. SUBJECT OF THE AGREEMENT
3.1. The subject of these Rules is to provide the Benefactor with the opportunity to make a Charitable Donation and receive an Invitation from the Agent.
3.2. The Agent is responsible for the quality of providing these Rules to the Benefactor.
3.3. The Agent is not responsible for the organization, conduct and content of the Events.
3.4. In accordance with the provisions of the Law of Ukraine “On Personal Data Protection” No. 2297-VI dated 01.06.2010, the Benefactor agrees to provide the Agent with his/her personal data in the process of making a charitable donation and receiving an Invitation, namely: surname, first name, contact phone number, delivery address (in the case of providing Invitation delivery services) and e-mail address. The Benefactor’s personal data is processed in accordance with the legislation of Ukraine. The Benefactor grants the Agent the right to process his/her personal data in connection with providing access to its own resources, including for the purpose of receiving advertising messages about the Events implemented by the Agent by the Benefactor. The term of use of the provided personal data is unlimited.
3.5. By accepting the terms of these Rules and making a Charitable Donation, the Benefactor must be sure that all the terms of these Rules are clear to him and he accepts them unconditionally and in full.

CHAPTER 4. PROCEDURE FOR MAKING A CHARITY DONATION


4.1. The Benefactor makes a charitable donation using the Agent's resources.
4.2. A charitable donation is recognized as made by the Benefactor at the moment the funds are received into the Organizer's bank account.
4.3. When making a payment by bank card, the Benefactor is obliged to use his own bank card, which is issued in his name. At the same time, the Organizer has the right to demand that the Benefactor provide original documents proving his identity. The charitable donation is accepted and is not subject to return, and the Invitation is canceled if the Benefactor violates the conditions for making a charitable donation, and the conditions of these Rules.
4.4. Subject to compliance with all the conditions of these Rules and after making a charitable donation, it is considered to be made and the Benefactor has the right to receive an Invitation from the Agent.

SECTION 5. DELIVERY OF THE INVITATION
5.1. Invitations are sent to the Benefactor in the following ways:
5.1.1. The Agent sends a letter to the Benefactor's email address, with an attached Electronic Invitation form with a unique Barcode, which must be printed out. The specified Invitation form entitles the Benefactor to a one-time visit to the Event of his choice and must be presented at the entrance.
5.1.2. Delivery of the Invitation by courier service is carried out for an additional fee, the amount of which is determined by the Agent and the postal service operator independently.

SECTION 6. ACTION, CANCELLATION OF INVITATION
6.1. The Invitation shall become effective upon receipt by the Benefactor and shall cease to be effective upon its use at the Event for which such Invitation is intended. In the event of the postponement of the Event due to a possible threat to the life and health of people and/or for other reasons of impossibility of holding the Event, such Invitation shall grant permission to attend the postponed Event if such postponement is organized by the Organizer, of which the Benefactor shall be notified additionally.
6.2. Cancellation of the Invitation occurs in the following cases:
6.2.1. the Benefactor's refusal of the Invitation;
6.2.2. lack of payment within 15 (fifteen) minutes after making a charitable donation using the Internet acquiring service;
6.2.3. when ordering courier delivery, if the courier was unable to deliver the Invitation to the Benefactor due to his absence at the specified address.

SECTION 7. RIGHTS AND OBLIGATIONS OF THE PARTIES
7.1. The benefactor has the right:
7.1.1. Independently make decisions about making a charitable donation using the Agent's resources.
7.1.2. Receive information about the rules for making a charitable donation, receiving Invitations, and other information regarding the Events that the Agent possesses within the scope of its powers, using the Internet, calling the Agent, and other methods specified on the websites www.v-ticket.com.ua, www.concert.ua.
7.1.3. Independently choose the method of making a charitable donation from those offered by the Agent on the Agent's websites www.v-ticket.com.ua, www.concert.ua. In this case, the Buyer is obliged to independently familiarize himself with the rules for using a particular payment method.
7.1.4. Send feedback on the Agent's work to the Agent's contacts.
7.2. The benefactor is obliged to:
7.2.1. Read in detail all the provisions of these Rules and accept them when making a charitable donation.
7.2.2. When making a charitable donation, provide the necessary true, accurate and complete information about yourself.
7.2.3. The Benefactor acknowledges that he is fully responsible for the data communicated to the Agent.
7.2.4. The Benefactor acknowledges that he has no claims against the Agent for his own incorrect registration of the charitable donation, as he was not personally convinced of its correctness.
7.2.5. Make a full charitable donation, and if necessary, the amount of the Service Fee.
7.2.6. Do not post, publish, transmit or distribute messages that may be of a criminal nature or cause any harm to the Organizer, Agent, and other Benefactors.
7.2.7. In the event of any problems/inconveniences with visiting and/or staying at the Event, the Benefactor is obliged to contact the Agent within 12 (Twelve) hours from the start of the Event using the means of communication specified on the Agent's website (on the Internet: www.v-ticket.com.ua, www.concert.ua), indicating and describing the problems/inconveniences that have arisen.
7.3. The Agent has the right:
7.3.1. Require the Benefactor to comply with all procedures for registering and making a charitable donation in accordance with the rules set forth in these Rules.
7.3.2. To modify any software of the Agent's websites (www.v-ticket.com.ua, www.concert.ua), to terminate the operation of software that ensures the functioning of the website, upon detection of significant malfunctions, errors and failures, as well as for the purpose of carrying out preventive work and preventing unauthorized access to the website.
7.3.3. Determine the cost of the Service Fee and Additional Services to be paid by the Benefactor. The Delivery Cost is paid separately by the Benefactor.
7.3.4. Require the Benefactor to pay the full amount of the charitable donation before issuing the Invitation to the Benefactor.
7.3.5. If the Benefactor fails to comply with any of the provisions of these Rules, the Invitation shall be refused.
7.3.6. Apply fees for Additional Services which include, but are not limited to:
7.3.6.1. for personal processing of a charitable donation by the operator when making a donation through the Concert.ua contact center (telephone, online chat, e-mail);
7.3.6.2. for generating a message with attached Electronic Invitations and sending them by e-mail to the Benefactor;
7.3.6.3. for printing the Invitation for its delivery by courier;
7.3.6.4. for receiving and collecting funds when paying the courier for the delivery of the Invitation;
7.3.6.5. and other Services.
7.3.6.6. The cost of Additional Services is determined by the Agent independently and may be changed at any time.
7.4. The Agent is obliged to:
7.4.1. Provide the Benefactor with the necessary information about a specific Event.
7.4.2. Provide the Benefactor with instructions for processing/payment/receiving the Invitation. The information that the Agent publishes on the Agent's websites www.v-ticket.com.ua, www.concert.ua is considered comprehensive information.
7.4.3. Do not use the Buyer's personal data to send materials that are not related to the services provided by the Agent.
7.4.4. Do not transfer personal data to third parties or use them for any other purpose.

SECTION 8. LIABILITY OF THE PARTIES
8.1. The Agent is not responsible for the inoperability of communication channels through which the Benefactor connects with the Agent.
8.2. The Agent bears no responsibility for the postponement, replacement or cancellation of the Event, as well as for the preparation and conduct of the Event.
8.3. In case of failure to fulfill or improper fulfillment of their obligations, the Parties shall be liable in accordance with the legislation of Ukraine and the terms of these Rules.
8.4. The Agent's responsibility in the process of providing the Benefactor with the opportunity to make a charitable donation is limited to the function of organizing and implementing interaction between the Organizer and the Benefactor for the purpose of making a charitable donation and transmitting the Invitation to the latter.
8.5. The Agent is not responsible for any failure to meet the Benefactor's expectations and/or his subjective assessment of the charitable donation. Advice and recommendations provided to the Benefactor cannot be considered as providing any guarantees.
8.6. The Benefactor assumes all possible risks associated with his actions in the event of errors and inaccuracies in providing his data.
8.7. The Agent is not liable for any losses and moral damages incurred by the Benefactor as a result of misunderstanding and/or misunderstanding of information on the procedure for making a charitable donation, as well as receiving and using the Invitation.
8.8. In the event that the Benefactor makes any claims regarding any problems related to the visit and/or stay at the Event in violation of the term of use of the Invitation, these claims shall not be satisfied in any case.
8.9. The Benefactor agrees that disclosure of the Barcodes (which are printed on the Invitation) may result in loss of the opportunity to use the specified Invitation. The Agent bears no responsibility for the attendance of the Event by the person who reported the Barcode and is not the Benefactor and/or its representative.
8.10. The Parties are exempt from liability for full and/or partial failure to fulfill their obligations under these Rules if such failure was a consequence of force majeure circumstances, i.e. extraordinary and unavoidable circumstances under the given conditions. Force majeure circumstances include, in particular: natural disasters, military actions, strikes, actions and decisions of state authorities, failures occurring in telecommunication and energy networks.
8.11. The Agent, its employees, directors, founders, officers or other related parties, sponsors, intermediaries, representatives, partners or any other persons, including those acting on behalf of the Agent, are not liable for any direct or indirect losses arising from the Benefactor making a charitable donation or receiving an Invitation, as well as from unauthorized access to the Benefactor's personal data, including lost profits.

SECTION 9. DISPUTE RESOLUTION
9.1. All claims that may arise from these Rules must be submitted in writing within ten days from the date of their occurrence. After the expiration of the specified period, claims will not be considered by the Agent.
9.2. Disputes arising from the implementation of these Rules shall be resolved in accordance with the claim procedure. The claim shall be submitted to the Agent in writing with the attachment of documents substantiating the claims made, within a period of no more than 10 (ten) calendar days from the date of the cause of the dispute. The submitted claim shall be considered by the Agent within a period of no more than 10 (ten) calendar days.
9.3. If it is impossible to reach an agreement on any disputes that arise, they shall be subject to judicial settlement in accordance with the current legislation of Ukraine.
9.4. On all other issues not provided for in these Rules, the Parties shall be guided by the current legislation of Ukraine.

SECTION 10. MODIFICATION AND TERMINATION OF THE RULES
10. These Rules come into force from the date of their posting on the Agent's and Organizer's websites and are valid until September 8, 2025. The provisions of this clause also apply to amendments (changes) to these Rules.
